Terms and Conditions

Effective Date: August 19th, 2025

1. Introduction
These Terms and Conditions ("Terms") govern the provision of sustainability consulting services ("Services") by Operational Efficiency Partners LLC, a LLC located at 514 Ramblewood Dr, Bryn Mawr, PA, 19010, ("Company", "we", "us", or "our"), to the client ("Client", "you", or "your"). By engaging our services, you agree to be bound by these Terms.

2. Scope of Services
We provide consulting services aimed at helping businesses and organizations implement and improve sustainability practices. Services may include but are not limited to:

  • Sustainability strategy and planning

  • Environmental impact assessments

  • Carbon footprint analysis and reduction

  • ESG (Environmental, Social, Governance) reporting

  • Sustainability training and workshops

The specific scope of work will be outlined in a separate written agreement, proposal, or statement of work ("SOW") agreed upon by both parties.

3. Fees and Payment
Fees for services will be outlined in the SOW or service agreement. Unless otherwise specified:

  • Invoices are due within 10 days of the invoice date.

  • Late payments may incur a late fee of [e.g., 1.5%] per month.

  • Expenses incurred in the course of delivering services (e.g., travel, materials) will be billed to the Client with prior approval.

 

4. Client Responsibilities
You agree to provide timely access to personnel, information, and other resources necessary for us to perform the Services. You also agree to:

  • Provide accurate and complete data and information

  • Cooperate with our team in a timely manner

  • Notify us of any issues or concerns that may impact service delivery

5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. Confidential information does not include information that:

  • Is or becomes publicly available without breach of these Terms

  • Is lawfully received from a third party

  • Is independently developed without reference to the confidential information

6. Intellectual Property
Unless otherwise agreed in writing:

  • All pre-existing intellectual property used by the Company in delivering services remains the property of the Company.

  • Deliverables created specifically for the Client as part of the engagement shall be the property of the Client upon full payment.

  • The Company retains the right to use anonymized data and results for internal research, performance metrics, or marketing purposes.

7. Limitation of Liability
To the extent permitted by law, our liability for any claim arising from or relating to the Services shall be limited to the amount paid by the Client for the Services in question. We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits or data.

8. Termination
Either party may terminate the engagement with [e.g., 14] days' written notice. Upon termination:

  • The Client shall pay for all services rendered and approved expenses incurred up to the termination date.

  • Any outstanding deliverables completed up to that point will be delivered to the Client.

9. Force Majeure
We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, government actions, labor disputes, or internet or power outages.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.

11. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to mediation or binding arbitration in [City, State], unless otherwise agreed.

12. Changes to Terms
We reserve the right to update these Terms at any time. Any changes will be communicated to clients in writing and will not apply retroactively.
